MV Agusta Motorrad: Rete vendita spazzata via E mi volevano zittire!

Almeno secondo me.

MV AGUSTA PRODUCE SU ORDINAZIONE E DIPENDE DAGLI AUSTRIACI. ESATTAMENTE COME ANTICIPATO.

MV Agusta vuole TAPPARE LA BOCCA a MISTERHELMET!

Watch video with subtitles in 13 languages!

Let’s go to the facts with a very quick summary.
On October 30th I wrote an article with video in which I anticipated the agreement between KTM and MV Agusta. October 30th. Here’s the piece. Many picked up on the news, others copied it, OK. Usual stories.

On November 1st I launched a second article and video in which I included further elements with details and my impressions, anticipating what I thought would happen. November 1st, watch out.

On the afternoon of November 3rd, the news finally came out that I had anticipated on October 30th, that of the agreement between KTM and MV with the percentages I had anticipated. 5 days later.

Here’s the press release.

The next day, November 4th, I published the third article with video.

In the article I reported the news, some data, talked about MV’s situation and some names coming out. I then made what is called an evolutionary hypothesis on the situation that might have emerged.
Remember: November 4th.

After a few days in which I gathered information and financial data from my sources in Italy and Austria, I came out with my fourth piece on November 12th.
This article with the video has attracted some attention. I have included a few numbers relating to MV’s debts and corporate and financial situation, values in the field, a bit of compensation for the various company figures, and even added some news and items, clearly highlighted as such.

Three things are important about this article:

The first is to have outlined the possible strategy of the Sardarov family, that of increasing capital to maintain shares.
The second is to have anticipated two names of KTM executives who would join the MV Agusta board.
The third, that of having mentioned the name of a hypothetical president of MV Agusta.

Either I can get the information or I’m a fortune teller. Meanwhile, after 14 days, no request for clarification or denial has ever come from either MV Agusta or KTM. NONE.

On Tuesday November 15th, knowing of the imminent signing of the letter of intent (which then took place) for the capital increase, instead of writing another piece, I wrote to Ms. Alessia Riboni, head of communications at MV Agusta via WhatsApp.

“Good morning Ms. Riboni, I’m Gianluigi Ragno, from the Misterhelmet website. I don’t know if you know me and if you have read my articles. In case you haven’t, I can send them to you.
I know there is an important signing today. Would it be possible to have an interview with Mr. Sardarov, perhaps in the afternoon?”

I was aware that MV and KTM were signing the letter of intent and so I wanted to offer MV the chance to give their own version of the facts or possibly deny what I had written. It seems to me a demonstration of willingness and fairness.

Ms. Alessia Riboni, MV Agusta communications manager, replied to me as follows:

“Good morning Gianluigi, our in-house lawyer will reply to you later.”

She calls me Gianluigi because she evidently feels a certain confidence even if I personally don’t remember ever giving her one, but OK.
The next day the in-house lawyer, Paolo Neroni, wrote to me ordering me to remove all articles and videos concerning MV Agusta.

The lawyer, Paolo Neroni, did not ask for a denial or rectification. He, Paolo Neroni, did not specify what I should remove. Paolo Neroni asked for everything to be removed. Everything about MV on my site. Everything.

Here is the letter you all wanted to see:

30 minutes after receiving the communication from lawyer Neroni, I saw a press release from MV Agusta in which, look, they announced two things that I had written would happen in the article of November 12th. 4 days earlier. I point out that Misterhelmet has been removed from MV Agusta’s mailing list because maybe they think that since they don’t receive the press releases, they are unable to write articles, I don’t know.
Misterhelmet, the mentalist, again.

We look at the communications together and find that there is a recapitalisation and I had written it here that 2 people from KTM are joining MV. Which I had also written with names, surnames and company roles in KTM.

So I kind of ‘guessed’ again.

So I wonder:

Which articles should I remove if the things I wrote in advance have all occurred? If there is any that is not true, why is it not pointed out to me by either Ms. Alessia Riboni or the lawyer Paolo Neroni?

Is it not by chance that Mr. Timur Sardarov forgets that he is no longer in Russia and for some reason that I do not know, thinks he is Putin?

I don’t delete anything.

And from this moment on I am going to write everything I know, everything I think and everything I want about this affair involving KTM and MV Agusta.

I will denounce all attempts to intimidate and silence me.

With peace of mind to oligarch Sardarov, lawyer Neroni and Ms. Riboni, or rather Alessia, since we’re on friendly terms.

MV Agusta, troppi debiti: KTM al 32%! Sardarov CEO, Ponzellini presidente.

Entrano in campo Luca Martin e Verena Schneglberger-Grossmann.

Misterhelmet Shop

Moto in meno, ricambi mancanti e così via.

Super Gossip Livio Suppo!

MV Agusta, too many debts: KTM at 32%! Sardarov CEO, Ponzellini president. But Suppo…

The actual due diligence has not yet begun but KTM has already found discrepancies with what MV declared at the time of the agreement. With 15 million euro it would now control 32%.
Luca Martin and Verena Schneglberger-Grossmann join the field.

Misterhelmet Shop

Perhaps you, readers, haven’t realised it, but the partnership between MV Agusta and KTM is not a commercial one but a takeover by KTM. The 25.1% of MV Agusta was only paid for 15 million euro, which, for the Austrians, means the factory was not worth much more, even before they looked into it. Now it is worth even less.

When they entered the company, the Austrians were reportedly disappointed and also discovered some things that left them with a sour taste. This is directly told by the production workers, who are, among other reasons, at home because the production is at a standstill. And many, at home, are in danger of staying there at all.

KTM’s percentage would have risen to 32% with the same amount paid, meaning these items, from the point of view of the inventory, the reality of what was found would not correspond to what was declared at the time of signing. Missing bikes, missing parts and so on. In short, quite a mess.

The risk is that the Austrians will eventually take away 100% of MV for less than 40 million compared to the 190 million invested by the Sardarov family in recent years, and this could happen even earlier than Misterhelmet reported, which set the timeline for late 2024.

Confirmed is Timur Sardarov, Rashid’s son, as CEO and managing director, he who puts up the money, or at least has put it up until now. His yacht is seized, the newspapers report, and the latest money for MV is said to be coming not from Europe but from the Caymans.

Returning to Timur, his three-year contract as managing director would be valued at 3.6 million euro, or 100 thousand euro per month, all with employees who have not taken their salaries since September, with 60 layoffs planned immediately and others in step 2. This agreement should be signed by November 15 because there are salaries to be paid and the money is not there. This is not to mention rumours of contribution irregularities for the last three years, so much so that the company is said to be without a DURC, the Italian certification of labour compliance, with arrears of about 12 million euro in unpaid contributions.

If this is true, it is quite strange that the judiciary has not yet taken an interest in the matter, given that a company in agreement, with still 8 million euro to pay to close it, could not afford irregularities of this kind.

What KTM would have discovered, even before starting the actual due diligence, would be a critical situation to say the least:

 • 17 million euro await the suppliers
 • 8 million euro, as mentioned, are needed to close the agreement, what the US would call Chapter Eleven
 • 12 million euro are for unpaid contributions with possible penalties that may arrive
 • 50 million could be added for a compensation demanded by Loncin for a default by MV relating to an unsuccessful partnership for the production of small motorbikes. These are not debts, but they are a risk that must still be budgeted for.

Also pending is the lawsuit with Giovanni Castiglioni for the use of the Cagiva brand, still at the preliminary stages, for which quite a long time is expected.

Castiglioni is likely to advance, these are the rumours with figures still to be ascertained, even 9 million euro between unpaid fees and royalties for some versions of the F4 dedicated to Claudio Castiglioni.

The sum of the numbers just listed makes almost 100 million.

It is easy to understand that the 15 million euro put up by KTM is a drop in the ocean and that MV’s liabilities and risks are far greater than both the 25.1% of the shares initially agreed and the 32% hypothetically reached these days. Doing rough maths, this is well beyond the value of the company.

There are also other situations that need to be quantified. We are talking about warehouse management costs and other related activities, including the production of the motorbikes. More money is needed for these activities because if you do not have motorbikes to deliver, you cannot sell them, or at least you could not.

Some rumours that deserve to be verified would report atypical behaviour on the part of MV, namely that of invoicing dealers for motorbikes that cannot be delivered. The invoices would however be passed on to the banks to be discounted by a certain percentage and then reversed to the dealers on the grounds that the motorbikes ordered would not be ready. This behaviour to be verified, if actually practised, would cause further shortfalls to be ascertained by Generalfinance, MV Agusta’s bank, because of the motorbikes sold which in fact are non-existent. Besides, as mentioned, production has been stopped from the first week of November 2022.

The paradox? Customers want MV Agustas but the bikes don’t exist. What will be sold in the US, Mexico and Canada sales network that KTM will take over, nobody knows for certain.

KTM and the new board
The first moves by Pierer and his team were surely imminent.
At the helm of MV, Timur Sardarov has been confirmed, while he is to be joined by president and perhaps also guarantor, banker Massimo Ponzellini, who has a prestigious curriculum of public and private appointments. However, two people would be added to the board by KTM, with the idea of replacing Sardarov as soon as the Austrians gain control of the company, therefore well before his contract expires.

The first figure would be Luca Martin, currently CEO of KTM Asia. It would be him who would be destined to lead MV Agusta once the majority stake is acquired.

The second figure, on the other hand, would be Verena Schneglberger-Grossmann, currently VP of Legal at Pierer Mobility. She is the head of KTM’s lawyers, in other words, the person who, every time she finds a gap, will ask to raise the controlling percentage of KTM without adding a euro.

In the meantime, MV Agusta will no longer be a real company but will only have production because purchasing, sales and everything else will be KTM’s, which will supply the parts to MV and buy the product. CRC, which does R&D for MV, will also close and be absorbed by KISKA.

Sardarov’s counter-attack
In a recent interview, Timur Sardarov is said to have stated that he is firmly at the helm of the company and has no intention of reducing his stake or selling. It is possible that the intention is to try to let some time pass while the family funds (which some say are blocked) find their way to Schiranna. In that case, the Sardarov family could slow down the rise of KTM by injecting money to defend their shares, but they might not be able to stop it.

In racing, what happens?
As far as Supersport is concerned, linked to the bikes for sale, Quadranti’s contract with Reparto Corse, which is still valid for another year, would leave things as they are until at least the end of 2023.

In Moto2, on the other hand, it is clear that for KTM, which fields Kalex bikes, it makes no sense to keep an MV that is not MV. Giovanni Cuzari would not only have paid himself completely for the F2 project over the years (which would therefore be his) but he would not receive a euro from Schiranna. On the contrary, recently he would have been asked for a fee of 200 thousand euro just to be able to use the Varese brand. This would be pushing him towards looking for other partners. Whether KTM will want to field another MV-branded Kalex is unknown, but it is certainly not something to get excited about.

As for MotoGP, Pierer has already denied an MV in the premier class but has not denied another KTM re-branded as in the GASGAS case. And even here, there is no tearing one’s hair out if KTM wants to do as Ducati does but field six bikes under three different names, although MV Agusta would be the only brand that would make sense. The only one who would be happy would be the Ezpeleta family.

Super Gossip Livio Suppo!
Those who have come this far, after reading serious things, deserve a super gossip closing. Some time ago, Livio Suppo was allegedly spotted at MV Agusta. Some say he was there to talk about electric bikes (Suppo owns Thok, which also supplies bikes to Ducati), while others claim he was there to reorganise the Reparto Corse, if not even to bring Suzuki material coming out of MotoGP to Schiranna. Even if at the moment a real racing department and there are other priorities, the hypothesis remains fascinating.

Video with English subtitles!

KTM BANGS MV Agusta. And the Russians peep!

KTM enters MV Agusta on tiptoe with 25.1% and starts taking measurements, before taking everything.

It is useless to have articles written by puppet sites. Bank accounts speak. MV Agusta without KTM’s intervention would not have eaten the Christmas dinner. The press release (you can find it at the bottom) is clear and confronts 2 billion in turnover and 193 million in profits before taxes (more or less what Sardarov has lost since he took over MV) and 5,000 employees against 37 world titles in black and white pictures.

For this reason, only a complete financial idiot can think that a multinational at the top of the food chain like KTM enters a company in difficulty like MV Agusta, managed in recent years without a business plan, to be told what to do only because it is in a minority, carrying on the role of happy cuckold making videos while his newly married wife is banged.
It is important to know that the financial cuckold is not Austrian, but Russian.

The rumors highlighted by Misterhelmet, on Sunday 30 October, of a 50% acquisition by the end of 2023 and of total control by 2024.
This is what plausibly will happen but the operation will be even more bloody for the current owners and there will be the same difference between those who receive a knockout punch and those who are slowlychoked or, to use less grotesque comparisons, the same difference between someone who loses everything at poker in one hand and one who is instead plucked during the evening leaving on the table even his car keys and his watch, after having believed for hours that he could return to the game.

KTM, which will manage the sales network, will put his men in the game.
In fact, Enrico Pellegrino, former head of strategies and commercial development, has been with Nolan since 2 November.
Therefore, KTM will have strategic and distributional claims that will fall on planning and production and, to be implemented, will require substantial investments of cash of 20 million by the one who is still the majority shareholder. Everything will cost dearly to the current owners until they will be slowly choked . The nice thing (so to speak) is that MV Agusta has no money, but Black Ocean, the fund that manages it, has (if is not blocked by the Ukrainian question ) and for this reason Timur Sardarov , if he does not want to be kicked out in record time, he will get carried away into the quicksand of illusion and will inject money until he will realize that he has only lengthened his financial agony.

Not only will KTM take over MV as planned but it will do so at an even lower price than it would pay if it wanted to acquire it quickly. It will simply take a little longer. And the lawyers won’t be able to do anything.

KTM si BOMBA MV Agusta. E i Russi guardano!

Parlano i conti.

NO problem.

Cosa potrebbe succedere adesso?
Adesso vi dico cosa potrebbe succedere e quando. OVVIAMENTE SECONDO ME.

KTM-MV Agusta! The news is out. What happens now, MotoGP included!

In the two days following the video and the article by Misterhelmet, a mess happened. Someone has copied, someone has denied, someone has enriched the news to show that they know something and have not copied. Attention has focused on MotoGP but it is a mistake.

Misterhelmet Shop

After the video and the piece by Misterhelmet, the big sites came out with ease. GPOne reassembled the piece with some data and at 9.30 pm the next day, it came out.
At 11.35pm Speedweek a puppet site owned or heavily sponsored by Redbull, practically, came out saying that he had known about it for years, etc etc. He knew it but he waited to come out at midnight like ghosts. Mystery of Halloween.

Then there are the thieves of the thieves, a French paddock gp site that came out today citing the two sites above and not MISTERHELMET and writing that the news came from two well-informed sites. Lie.

Obviously few mention Misterhelmet and if they do they do it without the hypertext, so that people can’t click and have to go find the blog. This is the case with Motorcyclesport which comes out in various languages.

NO problem. It indicates that the delay has been suffered but the problem is that now everyone to show what they know is starting to personalize the news and there is a risk of getting out of reality.

What could happen now?
Now I tell you what could happen and when. OBVIOUSLY ACCORDING TO ME.
There will be a KTM press conference at EICMA where certain things can happen.

1) KTM confirms
2) KTM denies why it has to do the due diligence, i.e. the control etc and because there can be a counter-move of pride.

The russian reaction!
The Russians were pissed off not so much by the takeover by KTM because they actually wanted to sell MV and there were also Malaysian buyers ready on behalf of a fund, but by the fact that it emerged that MV is in trouble because they were not capable, which is undeniable. So in trouble that the Malaysians fled at the sight of the MV financial situation.
So Sardarov could either raise the price and try to sell better or raise the price too high to make the deal jump and then inject more capital.

This would move the MV question and would not solve it, however in the short term.
But the problem is not an injection of money every now and then but a real industrial plan.

The Russians, in their total inability of recent years, have shown that they do not have it, KTM instead has everything it takes, including brand and market motivations.

The purchase of the Ferrari of the motorcycles; this is MV, a very important move for KTM THAT DOES NOT HAVE A HIGH RANGE and even if it is bad from a sentimental point of view, since it is bad for an Italian brand to be bought like this, it is still the rescue of a brand that would otherwise agonize for another 10 years in the hands of a makeshift property.

This is how the news on MotoGP was born!
And now the MotoGP issue. It was my guess. In the video, therefore, I said: how beautiful would an MV branded MotoGP be. It was just a wish and that’s why I had a graphic friend of mine make a mockup.
It came out in two colors. With a blue background in my site and a gray background in yours.
They all copied the second because there were too many logos in mine.

I can therefore understand that KTM denies MotoGP because it is a step too far into the future but it is the only imaginative thing in the news.

Of all the very important news, what have the neirdoes detected, among which there are above all the desperate journalists from clicks who groped in the dark because they know nothing? The most imaginative thing. MV in MotoGP which resulted in titole orgasms and crunchy shorts for clickbaiters. But that’s not the most important thing.
The most important thing is why KTM wants MV.

The most important thing therefore is not the Motogp, who cares, but the saving of a brand, a company and jobs. Instead, 90% of the comments focused on the more exotic part.
But it is not 100% the fault of the public because after we have seen Gas Gas in MotoGP, something ridiculous, it is obvious that any brand is a smarter and more pleasant choice.
Now all that remains is to follow the story.

KTM buys MV Agusta! MV Agusta towards MotoGP?

The 2-step acquisition effectively saves MV Agusta from certain failure. But the road is still uphill!

The news is already in the title so all that remains is to go to the reasons and details, starting with a photograph of the recent corporate situation of MV Agusta, a glorious brand but full of problems that risk compromising its future. In fact, that of KTM is, for the Varese-based company, the last chance. A lifesaving move.

How did we get there?
Founded in ’45 (11 years after KTM) and with glorious vicissitudes, in recent years it is a company that has struggled, practically gasped. The world titles are just a memory and what the company is paying for is still the second crisis of 2004-2016.

First key moment
In 2008 the senseless purchase by Harley-Davidson of the MV Agusta Group INCLUDING THE CAGIVA BRAND (you will find out the reason for the capital) for 70 million i save the company then resold a year later for 1 euro after a 40 million investment of Harley and the birth of the F3.
Why 1 euro? Because Harley Davidson still owes some money and prefers a quick and painless exit, thus agreeing, also by virtue of the difficult financial situation of those years.

The Germans arrive
Too rapid growth, bad financial management, increased debt, non-existent sales network and lack of spare parts bring the company into the arms of Mercedes-AMG in 2014.
But the Germans are wrong. They buy only 25% of MV Agusta for 25 million euros and, at the beginning of 2016, try to sell non-essential assets with debts of over 40 million by dropping their shares below 20%.
This allows banks to demand repayment of the debt. Bad.
Suppliers begin to refuse the shipment of components and spare parts and MV Agusta seeks first help in court.
Added to this is the flooding of Lake Varese with flooding of the plants and the company is asking for 15 million in funding for (this is the official reason) to recover and expand its range of action abroad, in particular the United States, South America and Asia.
In March 2016, the Varese Court approved the “Agreement of continuity” protection act with some constraints: reducing production from 9,000 motorcycles per year to 6,000-7,000 , reducing research and development costs by 15 million euros to 7 million and finally reduce the expenses for the “Reparto Corse” (racing department) from 4 million euros to 600,000.
There are also layoffs of around 200 employees and threats from suppliers who do not deliver the materials to build the bikes and assist customers. MV gasps until 2017 when Mercedes AMG leaves without having done anything.

The Russians are coming!
It is time for the Russians, who together with Giovanni Castiglioni’s MV Holding buy 25% of MV from the Germans and declare that they are back in profit.
The new company puts in 40 million by launching new products and restructuring (perhaps) the sales network, a historic weak point of MV.
The capital increase is carried out by GC Holding , the company of Giovanni Castiglioni, and by ComSar Invest SA , the Luxembourg investment fund of the Anglo-Russian group Black Ocean of Rashid Sardarov , who works as an oil tanker and has a fortune of 4 billions of dollars.
The company is entrusted to Sardarov’s sons, Timur in particular becomes CEO , with Giovanni Castiglioni at his side.
It will never be a peaceful relationship and there is eternal conflict.
An example is the Lucky Explorer Project , a motorcycle heir to the Cagiva Elephant which, however, does not carry the Cagiva brand due to a dispute between the Russians (who believe they have acquired the brand as Harley Davidson and Mercedes did) and Castiglioni who instead claims it for if not included in the acquisition agreement. It’s just the tip of the iceberg of internal malaise.

The present

The agreement with KTM AG, a subsidiary of Pierer Mobility , which is in charge of distributing the Varese motorcycles in Canada, the United States and Mexico, arrives in September 2022 .
It is a simple distribution agreement but the orange Pac Man , which enters companies as a distributor and then eats them as in the video game, is finally interested in acquiring the majority of MV Agusta by 2023 and 100% by 2024.

A few things to fix
A long-standing arrangement with creditors (2016), a due diligence to be carried out and a verification of the “business mess”, make things feasible but complex.
In fact, there is a chronic delay in payments to suppliers and spare parts dealers (who work poorly and compromise the production capacity and reliability of the motorcycles), a tug-of-war on various issues between the Russians and Castiglioni and an assessment of the real industrial capacity of the company, elements necessary to quantify the acquisition.
The idea is to clean up the company organization charts and the management, (full of friends of friends with a purchasing campaign made up of superstar managers who do not “perform”), restore credibility to the product (which is excellent even if spoiled by relationships with suppliers) and reorganize the marketing and sales network.

According to some rumors , the production would remain in Italy while the whole management aspect would move to Austria.
Other voices speak instead of an interest of local authorities to purchase the facilities on the lake to convert them for tourism purposes.
After all Husqvarna , which would belong to the same industrial family, seems to have space in Cassinetta di Biandronno and money would be handy.

For KTM, a renowned leader in off-roading, extremely powerful in small motorcycles (in Asia together with CF Moto ) and strong with a highly organized sales network, a road and track sports brand of real and indisputable prestige would finally arrive. Other than Gas Gas! An MV Agusta MotoGP would be truly credible and sensible and would also appeal to Dorna.

And so what looks like an “Anschluss” , a painful German annexation of an impotent competitor, is ultimately a good move for everyone.
The alternative, with the current situation, is to fail for real, once and for all. We’ve seen far too many glorious brands in lawyers’ drawers.
